Share assignment business, re-structure and liquidation

Providing VMS with legal advice for implementation of procedures related to liquidation of Business Cooperation Contract (BCC) between VMS vµ and Comvik Group, including:

(i)           Assisting VMS in negotiation with the foreign partner for liquidation of the BCC;

(ii)         Giving legal advice and plan of liquidation process;

(iii)        Preparing related documents required for the liquidation process (agreements, minutes of liquidation);

During the operation process of the BCC, giving consulting advice in re-organization of the BCC, composing documents required for the business operation (business contracts of procurement or services), internal regulations of the BCC.

Providing legal advice and assisting Nghi Tam Tourism Development Company (a Joint Venture Company) in re-organization, capital increase

Giving advice and assisting Fortuna in its business of shares assignment and re-organization.

Giving advice and assisting NEWTACO in shares assignment transaction and converting the joint venture company to a wholly local company

Giving advice and assisting SUN RED RIVER CAYMAN LTD. and HASEGAWA LTD in their shares assignment business in a joint venture company to convert such company to a wholly foreign owned company.
